These Terms of Use (“Terms”) are entered into by and between you and Properties by Preston (“Company,” “we,” “our,” or “us”). These Terms govern your access to and use of https://www.propertiesbypreston.com/ (the “Site”) and any services, content, booking tools, communications, or functionality offered on or through the Site (collectively, the “Services”), whether you browse as a guest, submit an inquiry, or reserve accommodations.
Please read these Terms carefully before using the Site or Services. These Terms contain an arbitration agreement, jury-trial waiver, class-action waiver, limitation of liability, and other provisions that affect your legal rights.
By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy, located at https://propertiesbypreston.com/legal/privacy-policy, which is incorporated by reference. If you do not agree to these Terms or the Privacy Policy, do not access or use the Site or Services.
If you stay at a property offered or managed by Company (each, a “Property”), whether booked through the Site, directly with Company, or through a third-party platform, you may also be required to agree to our Guest Accommodation Agreement, located at https://propertiesbypreston.com/legal/guest-accommodation-agreement, and any property-specific rules, building rules, platform terms, or written booking terms applicable to your stay.
Company may cancel or decline a booking in accordance with the Guest Accommodation Agreement or applicable booking terms if you do not agree to, or fail to comply with, these Terms, the Privacy Policy, the Guest Accommodation Agreement, or applicable property rules.
We may revise and update these Terms from time to time in our sole discretion. We will use commercially reasonable efforts to provide notice of material changes when appropriate. Unless otherwise stated, changes become binding ten (10) business days after they are posted on the Site or, if we provide notice, ten (10) business days after the notice date. Changes apply to all access to and use of the Site and Services thereafter.
Changes to the “Arbitration” or “Governing Law and Venue” sections will not apply to disputes for which the parties had actual notice before the date the change was posted or noticed. If you do not agree to any changes, you must stop using the Site and Services. Continued use after the applicable notice period means you accept the changes.
We reserve the right to withdraw, suspend, restrict, or amend the Site or any Services in our sole discretion, without prior notice. We may restrict access to some parts of the Site, or the entire Site, to users, including registered users. We do not guarantee that the Site or Services will be available at all times or without interruption.
The Site and its entire contents, features, and functionality, including all text, displays, images, video, audio, software, design, selection, and arrangement, are owned by Company, its licensors, or other providers and are protected by United States and international intellectual-property and proprietary-rights laws.
These Terms permit you to use the Site for personal, informational, and noncommercial purposes only, unless we provide prior written consent. You may temporarily store copies in RAM, cache files automatically for display enhancement, and print or download one copy of a reasonable number of Site pages for personal, noncommercial use only.
You may not reproduce, distribute, modify, adapt, translate, reverse engineer, publicly display, publicly perform, republish, license, sell, transfer, download, store, transmit, broadcast, scrape, or otherwise exploit any material on the Site except as expressly permitted. You may not delete or obscure proprietary notices. If you breach this section, your right to use the Site stops immediately and you must, at our option, return or destroy any copies you made.
The Properties by Preston name, logo, and related names, logos, service names, designs, and slogans are trademarks or service marks of Company or its affiliates or licensors. You may not use them without our prior written permission. Other names, logos, product names, service names, designs, and slogans appearing on the Site are the property of their respective owners.
You may use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
You may terminate these Terms at any time by emailing info@propertiesbypreston.com and ceasing all use of the Site and Services. If you later use the Site or Services, you will be deemed to have reaccepted these Terms.
Company may terminate these Terms for any reason on thirty (30) days’ prior email notice. Company may also suspend or terminate your access immediately, without notice, if you materially breach these Terms; provide inaccurate, fraudulent, outdated, or incomplete information; violate applicable law, regulations, or third-party rights; or if Company believes in good faith that action is reasonably necessary to protect Company, guests, property owners, other users, third parties, or to prevent fraud or illegal activity. Where appropriate, you may be given an opportunity to resolve non-material issues to Company’s reasonable satisfaction. You may appeal a suspension or termination decision by contacting info@propertiesbypreston.com.
The Site may contain typographical errors, inaccuracies, omissions, or information that is not complete or current. If you notice an inaccuracy, please contact us so we can review it. We may update Site content from time to time, but we are not obligated to update any material. If you reserve a Property through a third-party platform, Company disclaims responsibility for the accuracy, content, availability, fees, policies, or practices of that third-party platform.
The Site may contain links to third-party websites, platforms, applications, payment processors, screening providers, booking platforms, advertisements, or other services (“Third-Party Services”). These links are provided for convenience only and do not imply approval or endorsement. We do not control Third-Party Services and are not responsible for their content, terms, privacy practices, availability, security, or any loss or damage arising from your use of them.
If you reserve a Property directly through the Site or with Company, you may be asked to provide personal and payment information, including your name, phone number, email address, billing address, payment-card information, and stay details. You must provide accurate, current, and complete information.
Company may use third-party service providers to process payments, manage reservations, communicate with guests, facilitate access, verify information, or support operations. Those providers may have separate terms and privacy practices. You authorize Company and its service providers to process and store payment-method information in accordance with our Privacy Policy and applicable law.
All reservations are subject to availability, screening, payment approval, applicable taxes and fees, property rules, building rules, platform rules, the Guest Accommodation Agreement, and any written booking confirmation or addendum.
If you are located in the United States, we may, but are not obligated to, obtain background reports from consumer reporting agencies or otherwise review publicly available information about you, including sex-offender registration lists or criminal-conviction databases. Screening may be conducted for the safety and security of guests, neighbors, property owners, building communities, and Company personnel.
By making or attempting to make a reservation, you authorize us to use your personal information, including name, address, date of birth, and other identifying information, to obtain and evaluate such reports as permitted by law. You may also be required to consent to the terms of a third-party screening provider. We may, in our sole discretion and subject to applicable law, suspend, cancel, block, restrict, or terminate access to Services, reservations, or Properties based on our evaluation of screening results. If a reservation is cancelled solely because screening is not passed, you will be issued a full refund of amounts paid to Company for that reservation.
Consumer reports may be obtained through Keycheck, https://www.keycheck.com/, or another qualified provider at our discretion. You may have rights under applicable law, including the right to request whether a consumer report has been run and to request a copy of your report.
Company is based in the United States, and the Site and Services are directed to people located in the United States. We make no claim that the Site or any content is accessible or appropriate outside the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local law.
Any dispute arising out of or relating to these Terms, the Site, or the Services will be resolved by binding arbitration before the American Arbitration Association (“AAA”), except that either party may seek temporary restraining orders, preliminary or temporary injunctive relief, or declaratory relief other than declarations regarding money damages in a court of competent jurisdiction.
This agreement to arbitrate includes claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and applies whether a claim arises during or after termination of these Terms. You understand and agree that both parties waive the right to a jury trial and the right to participate in a class action.
Arbitration will be heard by one independent arbitrator who is an attorney or retired judge. The arbitration will be held in New York, New York, in accordance with the then-existing Commercial Arbitration Rules of the AAA. Matters within the scope of the Federal Arbitration Act will be governed by it and not by state arbitration law. The arbitrator must follow these Terms and applicable law, and the arbitration will be conducted only on an individual basis, not as a consolidated, representative, group, or class proceeding.
Except as required by law, the entire arbitration proceeding, including rulings, decisions, and orders, will remain confidential and may not be disclosed to anyone other than the parties.
Notwithstanding any other statute of limitations, any claim or action arising out of or relating to these Terms, the Site, or the Services must be commenced within one (1) year after the facts giving rise to the claim or action occurred, or it will be barred.
You agree that you will not file or participate in a class action, class arbitration, representative action, or consolidated proceeding against Company. You also agree not to file any action or proceeding, including arbitration or alternative dispute resolution, against Company’s affiliates in connection with any aspect of these Terms, the Site, or the Services, to the fullest extent permitted by law.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute not subject to arbitration may be filed only in the state or federal courts located in the State of Delaware. You consent to jurisdiction and venue in those courts and waive any objection to jurisdiction or venue. You waive any right to trial by jury to the fullest extent permitted by law.
Your use of the Site, its content, and any Services or items obtained through the Site is at your own risk. The Site, its content, and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Company disclaims all representations, warranties, promises, covenants, agreements, or guarantees of any kind, whether express or implied, oral or written, statutory or otherwise, including warranties of merchantability, non-infringement, fitness for a particular purpose, completeness, safety, security, reliability, quality, accuracy, and availability.
We do not guarantee that files available for download from the internet or the Site will be free of viruses or destructive code. You are responsible for implementing appropriate anti-virus protection, backups, and safeguards for your systems and data.
To the fullest extent permitted by law, Company, its employees, agents, officers, directors, affiliates, licensors, service providers, and owners of Properties we manage, and their respective employees, agents, officers, and directors, will not be liable for any indirect, special, incidental, consequential, exemplary, punitive, or similar damages, including attorneys’ fees, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business, anticipated savings, use, goodwill, or data, under any legal theory, arising out of or relating to these Terms, the Site, Third-Party Services, or Services obtained through the Site, even if foreseeable.
To the fullest extent permitted by law, our total liability to you for all damages, losses, and causes of action will not exceed the amounts you paid to Company for booking Properties we manage during the twelve (12) months before the event giving rise to liability, or one hundred dollars ($100) if no such payments were made. The foregoing does not exclude liability that cannot be excluded or limited under applicable law.
If you book a Property through a third-party platform, you may be required to resolve disputes through that platform’s dispute-resolution process. You release Company, its employees, agents, officers, directors, affiliates, service providers, and owners of Properties we manage, and their respective employees, agents, officers, and directors, from claims, demands, and damages of every kind and nature, known and unknown, arising out of or connected with disputes between you and third parties relating to the Site, Services, Third-Party Services, or a third-party booking platform.
You agree to defend, indemnify, and hold harmless Company, its employees, agents, officers, directors, affiliates, service providers, and owners of Properties we manage, and their respective employees, agents, officers, and directors, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including attorneys’ fees, arising out of or relating to your violation of these Terms; your use of the Site or Services; your use of Site content, services, or products other than as authorized; your violation of intellectual-property, privacy, or other rights; your violation of law; or actions taken by any person using your account or information.
The provisions of these Terms will be enforced to the fullest extent permitted by law. If any provision is held invalid or unenforceable in any respect, in whole or in part, that finding will not affect the validity or enforceability of the remaining provisions, the application of that provision to other persons or circumstances, or the application of that provision in any other jurisdiction. Any invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.
These Terms, the Privacy Policy, the Guest Accommodation Agreement if applicable, property rules, booking confirmations, and any written addenda applicable to your reservation constitute the entire agreement between you and Company regarding your use of the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Site and Services.
